An underwriter accompanies the issuer throughout the placement process: helping to structure the issuance, determine volume and price, prepare the prospectus, complete registration, and find buyers.
Two participation formats exist. Under firm commitment, the underwriter purchases the entire issuance and resells it to investors, assuming placement risk. Under best efforts placement, the underwriter only works to sell the securities for a commission, with any unsold portion remaining with the issuer.
In Uzbekistan, underwriter functions are performed by investment intermediaries holding the appropriate license as professional securities market participants. For individual investors, the underwriter's name serves as an indirect signal of issuance quality, but does not guarantee reliability: the issuer bears responsibility for fulfilling obligations.
